Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website, APIs, products, and services (collectively, the "Services") provided by Guava, Inc. ("Guava," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hi@goguava.ai if you suspect unauthorized use of your account.

3. Use of the Services

3.1 Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or personal purposes.

3.2 Restrictions

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Reverse engineer, decompile, or disassemble any part of the Services, except as permitted by applicable law.
  • Attempt to gain unauthorized access to the Services, other accounts, or any systems or networks connected to the Services.
  • Use the Services to transmit viruses, malware, or any other harmful code.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Use the Services to develop a competing product or service.
  • Resell, sublicense, or redistribute access to the Services without our prior written consent.
  • Use automated means to scrape, crawl, or extract data from the Services beyond what is permitted through our APIs.

4. API Usage

Your use of Guava's APIs is subject to any applicable rate limits, usage quotas, and documentation we provide. We reserve the right to throttle or suspend API access if usage exceeds reasonable limits or threatens the stability of the Services. You are responsible for all API calls made using your credentials.

5. Your Content

"Your Content" means any data, text, prompts, or other materials you submit to or through the Services. You retain ownership of Your Content. By submitting Your Content, you grant us a limited license to process it solely as necessary to provide the Services to you.

You are solely responsible for Your Content and represent that you have all rights necessary to submit it. We do not monitor or endorse Your Content.

6. AI-Generated Output

The Services may generate output in response to Your Content ("Output"). You acknowledge and agree that:

  • No guarantee of accuracy: Output is generated by artificial intelligence and may contain errors, inaccuracies, or biases. You are responsible for reviewing and validating all Output before relying on it.
  • No professional advice: Output does not constitute legal, medical, financial, or other professional advice. You should consult qualified professionals for such matters.
  • Non-unique results: Similar or identical Output may be generated for other users based on similar inputs. We do not guarantee that Output is unique to you.
  • Your responsibility: You are solely responsible for how you use Output, including ensuring it complies with applicable laws and does not infringe on any third-party rights.

7. Fees and Payment

Certain Services require payment. All fees are stated on our pricing page or in an applicable order form. Unless otherwise specified:

  • Fees are charged in U.S. dollars.
  • Fees are non-refundable except as required by law.
  • We may change pricing with at least 30 days' prior notice.
  • You are responsible for all applicable taxes. If your payment method fails, we may suspend or terminate your access to the Services.

8. Intellectual Property

The Services, including all software, designs, text, graphics, and other materials, are owned by Guava or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except the limited use rights expressly set forth herein.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUT GENERATED BY THE SERVICES WILL BE ACCURATE, RELIABLE, OR FIT FOR ANY PARTICULAR PURPOSE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUAVA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY OUTPUT GENERATED BY THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Guava and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) Your Content; (c) your use of any Output; or (d) your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, upon notice. You may terminate your account at any time by contacting us at hi@goguava.ai. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination (including Sections 5, 6, 9, 10, 11, and 14) will survive.

13. Modifications

We may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Site with a revised effective date. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. General

  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guava regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
